Notion（ノーション）の利用規約の概要7つを日本語で解説！

「顧客 データ」とは、サービスにおいて顧客によって、または顧客に代わって、もしくは顧客の指示に基づき保存されるすべてのデータを指します。顧客データにはアカウント情報は含まれません。Notionはポリシーやドキュメントにおいて「ユーザーコンテンツ」という表現を用いる場合があります。ユーザーコンテンツが顧客ワークスペース内に保存されるか、または顧客ワークスペースに転送される場合、当該ユーザーコンテンツは顧客データとみなされます。

“Customer Data” means all data stored by or on behalf of Customer or at Customer’s direction in the Services. Customer Data does not include Account Information. Notion sometimes refers to “User Content” in its policies and Documentation. To the extent User Content is stored in or transferred into a Customer Workspace, such User Content shall be considered Customer Data.

3.1顧客データ 顧客データ（これに含まれる全ての知的財産権を含む）は、顧客及びそのライセンサーが所有します。

3.1 Customer Data. Customer and its licensors own the Customer Data, including all Intellectual Property Rights therein.

3.2 Notionによる所有権 Notionおよびそのライセンサーは、サービス、ドキュメント、API、利用データ、Notionのウェブサイト、ならびにNotionが作成し顧客に提供したすべての成果物（これらに含まれるすべての知的財産権を含む）（以下「Notion IP」）に関する一切の権利、権原、利益および所有権を留保します。本契約により、Notion IPに関する所有権は顧客に移転されません。顧客は、本契約で明示的に付与される限定的な権利を除き、Notion IPに関するいかなる権利も有しません。

3.2 Ownership by Notion. Notion and its licensors retain all right, title, interest and ownership of the Services, Documentation, API, Usage Data, Notion’s websites, and all deliverables created by Notion and delivered to Customer, including all Intellectual Property Rights therein (the “Notion IP”). No ownership rights in the Notion IP are transferred to Customer by this Agreement. Customer does not have any rights in or to the Notion IP except for the limited express rights granted in this Agreement.

10.1契約期間 本契約は発効日より開始し、お客様が本サービスへの有効なサブスクリプションを維持している間、または本契約が本契約の条項に従って別途終了されるまで継続するものとします。

10.1 Term of Agreement. This Agreement shall begin on the Effective Date and shall continue for so long as Customer maintains an active Subscription to the Services or the Agreement is otherwise terminated in accordance with the terms herein.

2.2 承認ユーザー；アカウント；顧客の責任。顧客は、そのユーザー、または顧客もしくはユーザーが本サービスへのアクセスまたは使用を許可した関連会社もしくは第三者による一切の行為および不作為について、当該行為または不作為が顧客自身の行為または不作為であるかのように責任を負うものとします。

2.2 Authorized Users; Accounts; Customer Responsibilities. Customer is responsible for all actions and inactions by its Users or by any Affiliate or third party that Customer or a User permits to access or use the Services, as if such action or inaction were an action or inaction of Customer.

禁止事項

2.1利用制限。 本契約で明示的に許可されている場合を除き、お客様は、以下の行為を行わず、また第三者が以下の行為を行うことを許可または承認しないものとします：(1) サービスまたはドキュメントをライセンス、サブライセンス、販売、譲渡、配布、共有、賃貸、リース、またはその他の方法で第三者に使用させること； (2) サービスまたはドキュメントを第三者への業務プロセスアウトソーシングサービス提供（例：サービス局として）に使用すること；(3) サブスクリプション料金を回避する目的、または適用されるサブスクリプションプラン、ドキュメント、本契約に違反する方法でサービスまたはAPIを使用すること； (4) サービスのセキュリティその他の技術的機能を回避または無効化すること；(5) サービスのソースコード、オブジェクトコード、基礎構造、アイデア、ノウハウ、アルゴリズムをリバースエンジニアリング、逆コンパイル、逆アセンブル、その他の方法で解明しようと試みること（ただし、適用される法令により本制限が禁止される範囲を除く）； (6) サービスまたはドキュメントを改変、翻訳、またはそれらに基づく派生作品を作成すること；(7) サービスから所有権表示またはラベルを削除すること；(8) 適用される法律に違反する、またはその回避を試みる方法でサービスを利用すること； (9) 競合製品またはサービスの構築、またはその機能やユーザーインターフェースの模倣を目的として本サービスにアクセスすること；(10) Notionの事前の書面による同意なしに、公表を目的とした評価、ベンチマーク、その他の比較分析のために本サービスを利用すること；(11) Notionの書面による合意がない限り、本サービスを利用して個人健康情報（1996年健康保険の携行性と責任に関する法律で定義されるもの）を保存または送信すること； (12) サービスを利用してカード会員データ（ペイメントカード業界データセキュリティ基準で定義されるもの）を保存または送信すること；(13) ユーザーに対する固有の識別要件を回避することを目的とした方法でサービスにアクセスまたは利用すること；(14) サブスクリプションまたはサブスクリプションプランの制限を回避するため、一時的かつ表面的にはユーザー数を減少させる方法でサービスにアクセスまたは利用すること； (15) 米国による包括的禁輸措置の対象となる国または地域（現在、キューバ、イラン、北朝鮮、シリア、およびウクライナのクリミア、いわゆるドネツク人民共和国、およびいわゆるルハーンシク人民共和国地域）から本サービスにアクセスまたは利用すること； または (16) Notionの利用およびコンテンツポリシーに違反する方法でサービスを利用すること（顧客データの保存または送信を含む）。サービスのドメイン管理機能を利用する場合、お客様は、従業員のプライバシーに関するものを含む、適用されるすべての法律およびお客様が維持するポリシーに準拠することを確保する責任を負うことに同意するものとします。

2.1 Use Restrictions. Except as expressly permitted in this Agreement, Customer will not, and will not permit or authorize third parties to: (1) license, sub-license, sell, transfer, distribute, share, rent, lease, or otherwise permit third parties to use the Services or Documentation; (2) use the Services or Documentation to provide business process outsourcing services to third parties (e.g. as a service bureau); (3) use the Services or API in order to circumvent Subscription Fees or in a way that would violate the applicable Subscription Plan, Documentation, or this Agreement; (4) circumvent or disable any security or other technological features of the Services; (5) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, know-how, or algorithms related to the Services (except to the extent this restriction is prohibited by applicable law); (6) modify, translate, or create derivative works based on the Services or Documentation; (7) remove any proprietary notices or labels from the Services; (8) use the Services in a manner that violates or attempts to circumvent applicable law; (9) access the Services for the purpose of building a competitive product or service or copying its features or user interface; (10) use the Services for evaluation, benchmarking, or other comparative analysis intended for publication without Notion’s prior written consent; (11) use the Service to store or transmit personal health information (as defined under the Health Insurance Portability and Accountability Act of 1996) unless agreed upon in writing by Notion; (12) use the Service to store or transmit cardholder data (as defined under the Payment Card Industry’s Data Security Standards); (13) access or use the Services in any manner designed to circumvent the unique identity requirement for Users; (14) access or use the Services in any manner that temporarily and superficially reduces the number of Users in order to circumvent Subscription or Subscription Plan limitations; (15) access or use the Service from any country or region subject to a comprehensive U.S. embargo (currently, Cuba, Iran, North Korea, Syria, and the Crimea, so-called Donetsk People’s Republic, and so-called Luhansk People’s Republic regions of Ukraine); or (16) use the Services, including to store or transmit Customer Data, in a manner that violates Notion’s Use & Content Policy. When you use the Service’s domain management functionality, you agree that you are responsible for ensuring that your use complies with all applicable laws and any policies you maintain, including those involving employee privacy.

2.2 承認ユーザー；アカウント；顧客の責任。～省略～各ユーザーは、サービスにアクセスし利用するために固有のIDを使用しなければならず、お客様が購入した範囲内かつ適用されるサブスクリプションプランに従ってのみサービスにアクセスできます。
2.2 Authorized Users; Accounts; Customer Responsibilities.~~Each User must use a unique identity to access and use the Services, and may access the Services only to the extent purchased by Customer and in accordance with the applicable Subscription Plan.

12.貿易管理の遵守. 顧客は、本サービスを以下の第三者に対して輸出、再輸出、または移転しないこと、また将来においても行わないことを表明し、同意する：(1) 米国またはその他の適用される政府の禁止対象者リスト（米国財務省外国資産管理室（OFAC）が管理する特別指定国民および取引禁止者リスト（SDNリスト）、外国制裁回避者リスト、部門別制裁対象者リストを含むがこれらに限定されない）に掲載されている者、または当該リストに掲載されている者が単独または合計で50％以上を所有する者、もしくは当該リストに掲載されている者によって支配されている者。特別指定国民及びブロック対象者リスト（「SDN」リスト）、外国制裁回避者リスト、部門別制裁対象者リスト（いずれも米国財務省外国資産管理室（OFAC）が管理）、及び米国企業リスト、未確認リスト、拒否者リスト（いずれも米国商務省産業安全保障局（BIS）が管理）に指定されている者、またはこれらによって所有されている者、もしくは支配されている者； (2) 米国による包括的禁輸措置の対象となる国または地域（現在、キューバ、イラン、シリア、北朝鮮、およびウクライナのクリミア、いわゆるドネツク人民共和国、およびいわゆるルハーンシク人民共和国地域を含む）に所在する、通常居住する、またはその法律に基づいて組織された個人または団体； (3) 米国及びその他の適用される輸出管理・制裁関連法令・規制により禁止されている目的（核兵器、化学兵器、生物兵器の拡散、兵器運搬用ロケット・ミサイル・無人航空機システム、IAEA保障措置の対象外となる核施設での使用、その他の制限された核活動、 軍事諜報活動、無許可の監視活動、人権侵害、または武器禁輸措置の対象国における軍事エンドユーザーまたは軍事目的での使用；または(4) 当該当事者が、その製品およびサービスを直接または間接的に提供、輸出、再輸出、または移転するために、適用される輸出管理および制裁法に基づき政府のライセンスまたは認可をNotionに取得させることを要求する者（「禁止対象者」）。

12. Compliance with Trade Controls. Customer represents and agrees that it is not, and will not export, re-export or transfer the Services to third parties who are: (1) designated on, or 50% or more owned (individually or in the aggregate) or otherwise controlled by persons designated on, a U.S. or other applicable governmental prohibited party list, including, but not limited to, the U.S. Specially Designated Nationals and Blocked Persons (“SDN”) List, Foreign Sanctions Evaders List, and Sectoral Sanctions Identifications List, which are maintained by OFAC, and the U.S. Entity List, Unverified List and Denied Persons List which are maintained by BIS; (2) any individual or entity located in, ordinarily resident in, or organized under the laws of, a country or region subject to a comprehensive U.S. embargo (presently including Cuba, Iran, Syria, North Korea and the Crimea, so-called Donetsk People’s Republic, and so-called Luhansk People’s Republic regions of Ukraine); (3) using Notion’s product or Service for any purpose prohibited by U.S. and other applicable export control and sanctions laws and regulations, including, but not limited to, nuclear, chemical, or biological weapons proliferation, rocket, missile or unmanned aerial vehicle systems for use in delivering weapons, use in nuclear facilities not subject to IAEA safeguards, other restricted nuclear activities, military-intelligence, unauthorized surveillance activities or human rights abuses, or for a military end user or end use in a country subject to an arms embargo; or (4) a party requiring Notion to obtain a government license or authorization under the applicable export control and sanctions laws in order to provide, export, re-export, or transfer, directly or indirectly, its products and services (a “Prohibited Person”).

• 違法行為：いかなる違法行為への関与、またはその促進、助長、他者への指示は厳禁です。本サービスの利用に適用される全ての法令を遵守しなければなりません。これには、(a) データまたは通信の送信、記録、収集、監視に先立ち同意を得ることを要求する法令、または (b) データまたは通信に関するオプトアウト要求への対応を要求する法令が含まれます。
• 暴力的・有害なコンテンツ 暴力的、わいせつ、露骨な性描写、自傷行為の助長、テロ活動、虚偽情報、または公衆への脅威となるコンテンツは禁止されています。この制限は非公開コンテンツと公開コンテンツの両方に適用されます。
• 児童の搾取：児童を搾取または性的に描写するコンテンツは一切禁止されます。いかなる方法による児童虐待や搾取を描写または助長するコンテンツも禁止されます。この禁止事項には、児童への性的接近（グルーミング）と見なされる可能性のある行為も含まれます。

• プライバシー侵害： 他人のプライバシーを侵害する、またはその他他人の法的権利を侵害もしくは損なうコンテンツや行為は一切認められません。
• サービスの妨害： サービスのいかなる側面、またはサービスに統合または接続されている第三者の製品やサービスに干渉または悪影響を及ぼすようなサービスの利用は禁止されています。
• ハッキング： 他人または組織の資産を違法または不正に支配することを目的とした本サービスの利用は禁止されています。
• スパムおよび迷惑連絡： サービスの以下の利用は禁止されます：(a) 検証されていないメールアドレスへの一斉送信によるメールアドレスその他の連絡先情報の収集または取得；および (b) 迷惑または無許可の商業コンテンツ、迷惑または大量の勧誘、その他の重複したまたは未承諾のメッセージの送信は禁止されます。
• 追加審査の対象となるコンテンツ： 当社の目標は、サービスの可用性と信頼性を確保することです。特定の業界に関連するコンテンツは、サービスの広範なユーザー層の可用性を脅かす可能性のある高い悪用率を有すると判断しました。当社は、当該業界に関連するサービスを利用する個人および組織に対し、追加審査の実施、サービスの利用停止、および／またはサービス提供の中止を行う権利を留保します。該当する業界の例には以下が含まれます：
  • 在宅ワーク、オンラインで稼ぐ、リード獲得の機会
  • ギャンブルサービスまたは製品；
  • アダルトエンターテインメント;
  • 地域的、国家的、または国際的な緊急事態により需要が高まっている製品の販売；
  • オンライン取引、デイトレードのコツ、または類似の関連コンテンツ；および
  • マルチ商法またはアフィリエイトマーケティング。

Notion AI利用に関する追加制限事項

上記のガイドラインに加え、Notion AIの使用に関しては以下の制限が特に適用されます。Notion AIを以下の目的で使用することはできません：

1. 高リスク利用事例： 武器開発、軍事目的、重要インフラの運用、自傷行為の助長、および重大な経済的リスクをもたらす活動を含む。
2. 誤情報： Notion AIを偽情報の拡散に使用しないでください。
3. 政治キャンペーン： Notion AIは、選挙運動資料の作成や政治的提唱活動に使用することはできません。
4. 不正行為： Notion AIを使用して、AI生成コンテンツが人間によって作成されたと誰かを欺いてはいけません。
5. 法律、医療、または金融に関する助言： Notion AIを使用して法律、医療、または金融に関する助言を提供する場合、共有前に当該分野の有資格専門家による内容のレビューを受ける必要があります。また、意思決定や推奨事項においてNotion AIを利用していることをクライアントに開示しなければなりません。

The following activities are prohibited:

• Illegal activities: Engaging in any illegal activity, or promoting, facilitating, or instructing others to do so is strictly prohibited. You must comply with all laws applicable to your use of the Services. This includes any applicable laws that require (a) consent be obtained prior to transmitting, recording, collecting, or monitoring data or communications; or (b) compliance with opt-out requests for any data or communications.
• Graphic and harmful content. Content that is graphically violent, obscene, sexually explicit, promoting self-harm, terrorist activity, misinformation, or posing a threat to the public is not allowed. This restriction applies to both private and public content.
• Child exploitation: Any content that exploits or sexualizes children is prohibited. Any content that depicts or promotes abuse or exploitation of children in any manner is prohibited. This prohibition includes any activity that could be considered grooming.
• Harassment, Bullying, Defamation, and Threats: Abusive, harassing, or bullying behavior is not allowed.
• Hateful Content: Content promoting hate speech, violence, or discrimination based on race, color, sexual orientation, gender identity, marital status or any protected characteristic is not allowed. Further, use of the Services by organizations that promote or normalize hate against individuals, hateful speech, violence, terrorism or whose primary purpose is inciting hatred or violence, is prohibited.
• Infringement of Intellectual Property: Misappropriation or infringement of anyone’s intellectual property rights is not allowed. This includes copying or plagiarizing other User’s content without their permission.
• Malicious and Deceptive Practices: Posting of malicious software, malware, viruses or other harmful code, or engaging in any deceptive, false, misleading, or fraudulent practices, including the promotion of counterfeit goods or services, is not allowed.
• Violation of Privacy: Any content or action that invades another’s privacy or otherwise violates or compromises another person’s legal rights is not allowed.
• Interference with the Services: Any use of the Services that interferes with or negatively impacts any aspect of the Services or any third-party products or services that are integrated or connected to the Services is not allowed.
• Hacking: Any use of the Service that is intended to unlawfully or improperly gain control of another person or organization’s assets is prohibited.
• Spam and Unwanted Contact: The following use of the Services are prohibited: (a) harvesting or collecting email addresses or other contact information through mass messaging of unverified email addresses; and (b) sending unwanted or unauthorized commercial content, unwanted or mass solicitation, or other forms of duplicative or unsolicited messages is prohibited.
• Content subject to additional scrutiny: Our goal is to ensure the availability and reliability of the Services. We have determined that content related to certain industries may have higher abuse rates that may jeopardize the availability for a broad range of users of the Services. We reserve the right to provide additional scrutiny on, suspend the use of and/or discontinue the provision of the Services to individuals and organizations who use the Services related to such industries. Examples of such industries include:
  • work-at-home, make money online, and lead generating opportunities
  • gambling services or products;
  • adult entertainment;
  • sales of products in high demand due to regional, national, or international emergencies;
  • online trading, day trading tips, or similar related content; and
  • multi-level marketing or affiliate marketing.

Additional Restrictions for Notion AI Use

In addition to the guidelines above, the following restrictions apply specifically to the use of Notion AI. You may not use Notion AI for:

1. High-Risk Use Cases: Including weaponry development, military purposes, operating critical infrastructure, promotion of self-harm, and activities posing significant economic risk.
2. Misinformation: Do not use Notion AI to spread disinformation.
3. Political Campaigns: Notion AI may not be used to generate campaign materials or for political advocacy.
4. Deceptive Practices: Do not use Notion AI to deceive anyone into thinking any AI generated content was created by a human.
5. Legal, Medical, or Financial Advice: If you are using Notion AI to provide legal, medical, or financial advice, you must have the content reviewed by a qualified professional in the field before sharing it, and you must disclose to your clients that you are using Notion AI in your decision-making or recommendations.

有事の対応

2.1利用制限。～中略～お客様またはお客様の顧客データが上記に違反していると当社が合理的に疑う場合、当社は当該違反を調査し、サービスへのアクセスを一時停止または終了することがあります。

2.1 **Use Restrictions.~~**If we reasonably suspect that you or your Customer Data are in violation of the foregoing, we may investigate that violation and suspend or terminate your access to the Services.

10.3 解約。 本契約および注文書は、相手方が以下のいずれかに該当する場合、通知をもっていずれの当事者も解除することができる。(i) 本契約の重要な条項に違反し、かつ、その旨の通知を受けてから三十（30）日以内に違反を是正しない場合、(ii) 継続企業としての機能を果たさなくなるか、通常の事業活動を行わなくなる場合、または (iii) 破産法その他の倒産法に基づく申立てが相手方によって行われ、または相手方に対して行われ、かつ、当該申立てが申立てから六十（60）日以内に却下または取り消されない場合。

10.3 Termination. This Agreement and any Order Form may be terminated by either party upon notice if the other party (i) breaches any material term of this Agreement and fails to remedy the breach within thirty (30) days after being given notice thereof, or (ii) ceases to function as a going concern or to conduct operations in the normal course of business, or (iii) has a petition filed by or against it under any bankruptcy or insolvency laws which petition has not been dismissed or set aside within sixty (60) days of filing.

監視と執行（コンテンツ及び利用規約） 当社は、サービスの利用状況およびNotion AIの不正利用を監視する場合がありますが、その義務を負うものではありません。当社は以下の権利を留保します：(1) 本ポリシー違反の疑いがある事案を調査すること、および (2) 本ポリシーに違反したと合理的に判断したユーザーまたは顧客に対し、利用停止または解約を含むあらゆる措置を講じること。

Monitoring and Enforcement（Content & Use Policy） We may monitor the use of the Services and Notion AI for abuse but are not obligated to do so. We reserve the right to (1) investigate any suspected violation of this Policy; and (2) take any action, including suspension or termination, against any User or Customer who we reasonably believe has violated this Policy.

Notionへの補償

8.3顧客による補償 顧客は、以下に起因または関連して生じる損失、責任、損害、請求、訴訟、訴因、判決、費用または支出（裁判費用および合理的な弁護士費用を含む）について、Notionを防御し補償するものとします。(1) 第三者の知的財産権を侵害する形で本サービスを利用したこと（第8.1条及び第8.2条に基づきNotionが責任を負う請求を除く）；(2) 顧客データに起因する法令違反またはプライバシー権侵害； (3) Notionによる顧客データの処理（ただし、Notionの処理が本契約に違反する場合を除く）；および(4) 顧客データに関連するその他の請求。 8.3 Indemnification by Customer. Customer will defend and indemnify Notion from and against any losses, liabilities, damages, demands, suits, causes of action, judgments, costs or expenses (including court costs and reasonable attorneys’ fees) arising out of or relating to (1) Customer’s use of the Service in a manner that infringes the Intellectual Property Rights of any third party (excluding any claim for which Notion is responsible under Sections 8.1 and 8.2); (2) violation of law or privacy rights attributable to Customer Data; (3) Notion’s processing of Customer Data, except to the extent Notion’s processing is in breach of this Agreement; and (4) any other claim relating to any Customer Data.

4.1サブスクリプション料金 お客様のサブスクリプションに適用されるサブスクリプション料金は、注文書に明記された金額とします。注文書に別段の定めがない限り、更新サブスクリプション期間に適用されるサブスクリプション料金は、当該更新サブスクリプション期間の開始時点で有効な、該当するサブスクリプションプランに対するノーションの標準サブスクリプション料金とします。サブスクリプション料金は、該当するサブスクリプション期間の開始時に支払期日が到来し、支払わなければなりません。Notionによる本契約の重大な違反が是正されない場合を除き、すべてのサブスクリプションは解約不可であり、サブスクリプション料金は返金不可です。お客様のサービス利用は、該当するサブスクリプションプランの権利および制限に従うものとします。一部の機能は、使用量ベースのサブスクリプションモデルに基づき提供されます。お客様は、ご自身のサブスクリプションおよびサブスクリプションプランで許可された使用量を超過した場合、以下の事項を承認し同意するものとします：(i) 当該機能へのアクセスおよび使用を継続するためには、サブスクリプションプランのアップグレードまたは追加使用量の購入が必要となる場合があること；および (ii) Notion が当該機能の無効化または性能低下を行う場合があること。

4.1 Subscription Fees. The applicable Subscription Fees to your Subscription shall be as specified in the Order Form. Unless otherwise specified in an Order Form, the Subscription Fees applicable to any renewal Subscription Term shall be Notion’s standard Subscription Fees for the applicable Subscription Plan in effect at the time such subsequent Subscription Term commences. Subscription Fees are due and payable upon the commencement of the applicable Subscription Term. Except in the case of uncured material breach of this Agreement by Notion, all Subscriptions are non-cancelable and Subscription Fees are nonrefundable. Customer’s use of the Services are subject to the rights and limitations in the applicable Subscription Plan. Some features are provided pursuant to a usage based subscription model. You acknowledge and agree that if you exceed the usage permitted by your Subscription and Subscription Plan: (i) you may be required to upgrade your Subscription Plan or purchase additional usage to continue accessing and using such feature(s); and (ii) Notion may disable or degrade performance of such features.

4.2 Downgrades Prohibited. You may not downgrade your Subscription Plan or reduce the number of Users during any Subscription Term. If you desire to downgrade your Subscription Plan or reduce the number of Users under any Subscription Plan for a subsequent Subscription Term, you must provide Notion with sixty (60) days’ written notice prior to the end of your then current Subscription Term. Downgrading your Subscription Plan may cause loss of content, features, or capacity of the Service and Notion is not responsible for such loss.

4.3 Invoicing and Payment. Unless specified otherwise in an Order Form, Subscription Fees shall be due and payable in full at the time of purchase. In the case of non-payment or delinquent payment of any Subscription Fees, Notion may, at its sole discretion: (i) suspend Customer access to the Services; (ii) terminate this Agreement or the applicable Order Form; or, (iii) continue to provide the Services, for a period solely determined by Notion, in anticipation of full and prompt payment by Customer. Any amount which is unpaid when due shall be subject to interest equal to the lower of 1.5% per month or the highest applicable legal rate. Notion shall be entitled to reimbursement for any costs associated with the collection of any past-due balance.

4.4税金 お客様は、サブスクリプションに関連して課されるその他のすべての税金の支払いに責任を負います。特定のサブスクリプションに関する利用規約に別段の定めがない限り、記載されているすべての価格は、いかなる税金、手数料、関税その他の金額（名称を問わず）を含まず、かかる料金または本契約に基づいて課される付加価値税および源泉徴収税を含みますがこれらに限定されません。当社が法的義務を負うと判断した場合、課税当局が認める免税証明書を提示されない限り、当該税金について請求書を発行します。Notionの所得に基づくNotionへの課税については、お客様の責任とはなりません。

4.4 Taxes. You are responsible for paying all other taxes assessed in connection with your Subscription. Unless otherwise stated with respect to terms and conditions for a specific Subscription, all stated prices are exclusive of any taxes, fees, and duties or other amounts, however designated, and including without limitation value added and withholding taxes that are levied or based upon such charges, or upon this Agreement. We will invoice you for such Taxes if we believe we have a legal obligation to do so unless you present an exemption certificate acceptable to the taxing authorities. You will not be liable for taxes imposed on Notion based on Notion’s income.

4.5 Domain Management. The Services include functionality whereby account administrators may manage Workspaces that are associated with email addresses provisioned by their organization, including to claim control and ownership of Workspaces where the Workspace is both (i) created by a User that is registered for Notion with an email address provisioned by you; and (ii) where a User that is registered for Notion with an email address provisioned by you is listed as an administrator. When your Account administrators claim such Workspace, you acknowledge that you assume all rights and obligations associated with that Workspace, including the obligation to pay Subscription Fees for any additional Users resulting from such claimed Workspace. You acknowledge that this account administration functionality will allow you to view Workspaces your employees may have created or joined for their own purposes and to take action, such as removal, of Your Users from such Workspaces. You hereby agree that you are responsible for such actions.

10.1契約期間 本契約は発効日より開始し、お客様が本サービスへの有効なサブスクリプションを維持している間、または本契約が本契約の条項に従って別途終了されるまで継続するものとします。

10.1 Term of Agreement. This Agreement shall begin on the Effective Date and shall continue for so long as Customer maintains an active Subscription to the Services or the Agreement is otherwise terminated in accordance with the terms herein.

10.2 解約の効果。 本契約の解約は、すべての有効な注文書を自動的に解約するものとします。ただし、単一の注文書の解約は、本契約またはその他の注文書の解約を招くものではありません。本契約または注文書の解約時、Notionが本契約または該当する注文書に基づき顧客に付与したすべての権利およびライセンスは終了します。いずれの当事者による本契約の終了も、法律上または衡平法上その他の救済手段を妨げるものではなく、また終了の効力発生日以前に発生した違反に対する当事者の責任を免除するものではない。いずれの当事者も、本契約の条項に従って本契約を終了させたことのみに起因する損害について、相手方に対し責任を負わない。

10.2 Effect of Termination. Termination of this Agreement will automatically terminate all active Order Forms, but termination of a single Order Form will not result in termination of this Agreement or any other Order Forms. Upon the termination of this Agreement, or an Order Form, all rights and licenses granted by Notion to Customer under this Agreement or the applicable Order Form will terminate. Either party’s termination of this Agreement is without prejudice to any other remedies it may have at law or in equity and does not relieve either party of liability for breaches occurring prior to the effective date of termination. Neither party will be liable to the other for damages arising solely as a result of terminating this Agreement in accordance with its terms.

10.3 解約。 本契約および注文書は、相手方が以下のいずれかに該当する場合、通知をもっていずれの当事者も解除することができる。(i) 本契約の重要な条項に違反し、かつ、その旨の通知を受けてから三十（30）日以内に違反を是正しない場合、(ii) 継続企業としての機能を果たさなくなるか、通常の事業活動を行わなくなる場合、または (iii) 破産法その他の倒産法に基づく申立てが相手方によって行われ、または相手方に対して行われ、かつ、当該申立てが申立てから六十（60）日以内に却下または取り消されない場合。解除は、いずれかの当事者による本契約違反に対する排他的救済手段ではない。破産法または支払不能法に基づく申立てが当該当事者によって、または当該当事者に対して行われ、かつ当該申立てが提出後60日以内に却下または取り消されなかった場合。本契約の違反に対する解除は、いずれの当事者による違反に対する排他的救済策ではない。本契約に別段の定めがない限り、違反当事者による違反を理由に非違反当事者が本契約を解除するか否かにかかわらず、非違反当事者はその他の全ての救済策を利用できる。

10.3 Termination. This Agreement and any Order Form may be terminated by either party upon notice if the other party (i) breaches any material term of this Agreement and fails to remedy the breach within thirty (30) days after being given notice thereof, or (ii) ceases to function as a going concern or to conduct operations in the normal course of business, or (iii) has a petition filed by or against it under any bankruptcy or insolvency laws which petition has not been dismissed or set aside within sixty (60) days of filing. Termination is not an exclusive remedy for breach of this Agreement by either party. Unless otherwise specified in this Agreement, all other remedies will be available to the non-breaching party whether or not the non-breaching party terminates this Agreement for breach by the other party.

10.4契約終了後の義務；顧客データの取得 本契約が終了した場合、Notionは30日間の期間、顧客が電子的に取得できるよう全ての顧客データを利用可能とします。当該期間経過後、Notionは全ての顧客データを削除することができ、Notionは当該顧客データの保管を継続する義務を負いません。顧客がNotionの重大な契約違反（是正されないもの）を理由に本契約を解除する場合、Notionは未提供サービスのサブスクリプション料金について、日割り計算による返金を顧客に行う。その他の理由による契約解除の場合、顧客は解除後10日以内に、解除対象の注文書に基づくサブスクリプション期間満了までの未払いサブスクリプション料金全額をNotionに支払うものとする。

10.4 Post-Termination Obligations; Customer Data Retrieval. Upon any termination of this Agreement, Notion will make all Customer Data available to Customer for electronic retrieval for a period of thirty (30) days. After such period, Notion may delete all Customer Data and Notion will have no obligation to Customer to continue storing such Customer Data. If Customer terminates this Agreement for Notion’s uncured material breach, Notion will issue to Customer a pro rata refund of Subscription Fees for Services not provided. If this Agreement is terminated for any other reason, within ten (10) days after such termination, Customer will pay Notion all remaining Subscription Fees owed through the end of the Subscription Term under any terminated Order Forms.

1.6 Subcontractors. We may use subcontractors or other third parties to perform our obligations and exercise our rights under this Agreement. We will remain responsible for all such subcontractors acts and omissions as if they were our own.

1.7 Notion Gallery および Notion 以外のサービス。ギャラリーを通じて Notion 以外のサービスを有効化できます。一部の非ノーションサービスはギャラリー経由で無料で利用可能ですが、その他は有料となります。非ノーションサービスの有効化、アクセス、または利用を決定した場合、当該非ノーションサービスへのアクセスおよび利用は、非ノーションサービス提供者との間で締結した契約（適用されるプライバシー契約を含む）のみによって規律されます。さらに、当該非ノーションサービスを有効化することにより、お客様はノーションが当該非ノーションサービスの機能に従い、お客様の顧客データおよびアカウント情報を当該非ノーションサービスの第三者プロバイダーに転送することを許可するものとします。ノーションは非ノーションサービスを保証またはサポートしません。本サービスには、ギャラリーを通じたものを含め、非ノーションサービスとの相互運用を目的とした機能が組み込まれている場合があります。Notionは、当該機能または非Notionサービスの継続的な利用可能性を保証できず、例えば（ただしこれに限定されない）、非Notionサービス提供者がNotionが許容する方法で対応するサービス機能との相互運用を停止した場合、事前通知なしにギャラリー（またはギャラリー内の機能もしくは掲載内容）の提供を中止することがあります。お客様は、Notionが非Notionサービスのサポートまたは保守を提供する責任を負わないこと、および非Notionサービス提供者が当該サービスをサポートまたは保守しない場合でも、当該サービスまたは非Notionサービスに対してNotionから支払われた料金（ある場合）の返金を受ける権利が生じないことに同意し、これを認めるものとします。ギャラリーで非ノーションサービスのテンプレート、統合機能、またはアプリケーションを購入した場合、ノーションが当該取引記録上の請求先として表示される場合があります。ただし、該当するテンプレート、統合機能、またはアプリケーションは、第三者によって提供される非ノーションサービスであり続けます（ノーションは非ノーションサービスの商業代理人として請求を処理します）。

1.7 Notion Gallery and Non-Notion Services. You may enable Non-Notion Services through the Gallery. Some Non-Notion Services will be available via the Gallery at no charge and others for a cost. If you decide to enable, access or use Non-Notion Services, your access and use of such Non-Notion Services shall be exclusively governed by your agreement, including any applicable privacy agreements, with the provider of the Non-Notion Service. Further, by enabling such Non-Notion Service, you authorize Notion to transfer your Customer Data and Account Information to the third-party provider of the Non-Notion Service in accordance with the functionality of such Non-Notion Service. Notion does not warrant or support Non-Notion Services. The Services may contain features designed to interoperate with Non-Notion Services, including through the Gallery. Notion cannot guarantee the continued availability of such features or any Non-Notion Services, and Notion may stop providing the Gallery (or any features of or listings within Gallery), without prior notice to you, if for example and without limitation, the provider of a Non-Notion Service ceases to make the Non-Notion Service available for interoperation with the corresponding Service features in a manner acceptable to Notion. You agree and acknowledge that Notion has no responsibility to provide support or maintenance of Non-Notion Services and failure of the Non-Notion Service provider to support or maintain the Non-Notion Service will not entitle you to any refund of fees paid from Notion, if any, for the Service or a Non-Notion Service. If you purchase a Non-Notion Service Template, integration, or application on the Gallery, Notion may show up as the merchant of record on your transaction records for the charge. However, the relevant Template, integration, or application remains a Non-Notion Service provided by a third party (Notion processes the charge as a commercial agent of the Non-Notion Service).

1.8 Notion API.  当社は、本サービスへのアクセスおよび利用に関する追加的な方法を提供するアプリケーションプログラミングインターフェース（以下「API」）を提供する場合があります。かかるAPIは本サービスの一部とみなされ、APIのご利用には本契約の条項が適用されます。さらに、API の利用には、Notion が随時独自の裁量で更新する可能性のある、その時点で最新の 開発者利用規約 が適用されます。本契約と開発者利用規約の間に矛盾がある場合は、開発者利用規約が優先されます。当社は、通知の有無にかかわらず、いつでもAPI（またはその一部）へのアクセスを変更または中止する権利を留保します。APIは変更および修正の対象となり、APIの使用が最新バージョンと互換性があることを確認する責任はお客様のみにあります。

1.8 Notion API.  We may offer an application programming interface that provides additional ways to access and use the Service (“API“). Such API is considered a part of the Service, and your use of the API is subject to the terms of this Agreement. Further, your use of the API is subject to Notion’s then-current Developer Terms, as may be updated by Notion in its sole discretion from time to time. In the event of a conflict between this Agreement and the Developer Terms, the Developer Terms shall control. We reserve the right at any time to modify or discontinue your access to the API (or any part of it) with or without notice. The API is subject to changes and modifications, and you are solely responsible to ensure that your use of the API is compatible with the current version.

13.6準拠法・裁判管轄 本契約は、抵触法の規定にかかわらず、カリフォルニア州法に準拠し、同法に従って解釈されるものとする。本契約に関連するすべての紛争の専属的裁判管轄は、アメリカ合衆国カリフォルニア州サンフランシスコ郡とする。

13.6 Governing Law; Venue. This Agreement shall be governed by and construed in accordance with the laws of the State of California without regard to the conflict of law provisions thereof. The sole venue for all disputes relating to this Agreement shall be in San Francisco County, California, USA.

5.2ノーションの保証 ノーションは、適用されるサブスクリプション期間中、以下を保証します：

(a) 本サービスは、ドキュメントに実質的に従って機能すること；および

(b) 本契約、注文書およびドキュメンテーションは、顧客データのセキュリティ、機密性および完全性を保護するための適用される管理上、物理的および技術的な保護措置を、すべての重要な点において正確に記述するものとします。

本第5.2条に定める保証は、お客様が当該違反を発見してから30日以内に書面でNotionに通知しなかった場合には適用されません。Notionが第5.2条の保証に違反した場合、顧客の唯一の救済手段およびNotionの唯一の責任として、Notionは自己の費用負担で以下のいずれかを実施するものとします：(1) サービスを変更し、ドキュメントに実質的に準拠して機能させること、または(2) 本契約を解除し、提供されなかったサービスに対して支払われたサブスクリプション料金を顧客に返金すること。

5.2 Notion Warranties. Notion warrants that during the applicable Subscription Term:

(a) the Services will function substantially in accordance with the Documentation; and

(b) this Agreement, the Order Forms and the Documentation will accurately describe the applicable administrative, physical, and technical safeguards for the protection of security, confidentiality and integrity of Customer Data in all material respects.

The warranties provided in this Section 5.2 will not apply if Customer fails to notify Notion in writing within thirty (30) days of discovery of any such breach. If Notion breaches the warranty in Section 5.2, as Customer’s sole remedy and Notion’s sole liability, Notion will, at its expense, either: (1) modify the Services to enable it to perform substantially in accordance with the Documentation; or (2) terminate this Agreement and refund to Customer any Subscription Fees paid for Services not provided.

Service Level Terms　サービスレベル条項

利用可能要件を満たせなかった場合（「ダウンタイム」）におけるお客様の唯一の救済措置、およびNotionの全責任は、以下の条件を満たす場合に限り、30分以上の連続したダウンタイム期間ごとにサブスクリプション料金の5%のクレジットを受け取ることとする：(1) ダウンタイムが1時間を超えること、および(2) 1日あたり1回を超えるクレジットは発生しないこと。ダウンタイムは、お客様がダウンタイムの発生を認識した時点から発生し、サービスの可用性が回復するまで継続する。クレジットを受け取るには、お客様はダウンタイム発生から72時間以内に書面でNotionに通知する必要があり、当該通知を怠った場合、クレジット受領権は失効する。当該クレジットは現金に換金できない。クレジットは、いずれの月においても累積で1週間分のサブスクリプション料金を超える額を適用することはできません。ノーションは、当該インシデントが発生した月にのみクレジットを適用します。

Customer’s sole and exclusive remedy, and Notion’s entire liability, in connection with the failure to meet the Availability requirements (“Downtime”) is to receive a 5% credit of the Subscription Fees for each period of 30 or more consecutive minutes of Downtime provided that (1) the Downtime lasts longer than one hour, and (2) no more than one such credit will accrue per day. Downtime shall begin to accrue as soon as Customer recognizes that Downtime is taking place and continues until the Availability of the Services is restored. In order to receive credit, Customer must notify Notion in writing within 72 hours from the time of Downtime, and failure to provide such notice will forfeit the right to receive credit. Such credit may not be redeemed for cash. The credits may not cumulatively be applied to exceed one week of Subscription Fees in any given month. Notion will only apply a credit to the month in which the incident occurred.

8.1 Notionによる補償 Notionは、(i) 本契約に基づき提供されるサービスが第三者の知的財産権を侵害すると主張する第三者による顧客に対する請求（以下「請求」という）を防御し、または（その選択により）和解し、(ii) 当該請求において顧客が最終的に支払いを命じられ、かつ支払うべき損害賠償および費用について顧客を補償するものとします。サービスが第三者の知的財産権を侵害すると判断された場合（またはNotionがサービスが侵害すると合理的に判断した場合）、Notionは自らの選択と費用負担により以下の措置を講じることができる：(1)当該請求に異議を申し立てる、(2)サービスを非侵害化するために修正する、 (3) 顧客が本サービスの利用を継続できるライセンスを取得する、または (4) 本サービスの全体的な機能性を実質的に低下させない範囲で、非侵害の代替サービスに置き換える。上記いずれの方法も商業的に合理的でないとノーションが判断した場合、ノーションは本契約を解除し、未提供分のサービス利用料を日割計算で顧客に返金することができる。本第8.1条は、顧客による本サービスの利用に起因する第三者の知的財産権の実際の侵害または侵害の申し立てに関して、Notionの唯一の責任および顧客の唯一の救済手段を規定するものである。

8.1 Indemnification by Notion. Notion shall (i) defend or (at its option) settle, any claim brought against Customer by a third party alleging that the Services as provided under this Agreement infringe any third party Intellectual Property Right (a “Claim”) and (ii) indemnify Customer against damages and costs finally awarded against and payable by Customer in any such Claim. If the Services are held to infringe (or if Notion reasonably believes the Services will be held to infringe) any third-party Intellectual Property Rights, Notion may, at its option and expense: (1) contest the claim, (2) modify the Services to make it non-infringing; (3) obtain a license that permits Customer to continue using the Services; or (4) replace the Services with non-infringing substitutes provided that such substitutes do not entail a material reduction in the overall functionality of the Service. If none of the foregoing are commercially reasonable, in Notion’s discretion, Notion may terminate this Agreement and issue to Customer a pro rata refund of Subscription Fees for Services not provided. This Section 8.1 states Notion’s sole and exclusive liability, and Customer’s sole and exclusive remedy, for the actual or alleged infringement of any third-party Intellectual Property Rights arising from Customer’s use of the Services.

8.2 例外事項。 以下のいずれかに起因して請求が発生した場合、Notionは第8.1項に基づく顧客に対する責任を負わないものとする：(1) 本契約に基づく顧客の義務違反； (2) 顧客が、(a) 侵害の通知を受けた後、または (b) サービスの全体的な機能性を実質的に低下させることなく侵害を回避できる修正を無償で提供された後、当該侵害を主張されるサービスの部分を継続して使用した場合；(3) Notionが提供しない他の製品、サービス、データ、またはプロセスと組み合わせて本サービスを利用した場合（当該利用がなければ侵害の主張は生じなかった場合に限る）；(4) 顧客が要求または提供した設計、要件、または仕様；(5) 顧客による本契約違反、適用法令違反、または顧客のサブスクリプションプランの範囲外での本サービスの利用； (6) お客様がドキュメントに従って本サービスを利用しなかったこと；(7) Notionによるものではない本サービスのいかなる変更であって、当該変更がなければ主張される侵害は発生しなかったであろうもの；または(8) お客様が料金または費用を支払っていない状態で本サービスを利用した場合（お客様がベータ版サービスを利用している場合を含む）。 8.2 Exceptions. Notion will have no liability to Customer under Section 8.1 to the extent a Claim arises out of (1) any breach of Customer’s obligations under this Agreement; (2) Customer’s continued use of the allegedly infringing portion of the Services after: (a) being notified thereof; or (b) being provided, at no additional charge, modifications that would have avoided the alleged infringement without materially reducing the overall functionality of the Service; (3) Customer’s use of the Services in combination with other products, services, data, or processes not provided by Notion, where the alleged infringement would not have occurred in the absence of such use; (4) designs, requirements, or specifications required by or provided by Customer; (5) Customer’s use of the Services in breach of this Agreement, in violation of applicable law, or outside the scope of Customer’s Subscription Plan; (6) Customer’s failure to use the Services in accordance with the Documentation; (7) any modification of the Services not made by Notion, where the alleged infringement would not have occurred in the absence of such modification; or (8) Customer’s use of the Services where there has been no charges or fees, including where Customer is using Beta Services.
